The terms that accompany every quotation, stated plainly before anyone signs anything.
Version: November 2026, Rev. 1102
These Terms & Conditions accompany each quotation issued by Hogan Enterprises, LLC, doing business as The CMM Programmer ("The CMM Programmer"), and incorporate the Service Agreement by reference at thecmmprogrammer.com/legal/service-agreement.
1. Quotation. This quotation is valid for 30 days from its date and covers only the services, deliverables, and estimated hours described in it. On-site dates are reserved only upon acceptance of this quotation, in the order acceptances are received. Estimated hours are estimates, not fixed-price commitments, unless expressly stated otherwise.
2. Acceptance; Governing Documents. Signing this quotation, issuing a purchase order for the quoted services, or authorizing work to begin constitutes acceptance of these Terms and The CMM Programmer Service Agreement, version effective as of the quotation date, available at thecmmprogrammer.com/legal/service-agreement, which is incorporated by reference. Together, these documents govern the engagement and take precedence over any conflicting or pre-printed terms in Customer's purchase order or other vendor documents, which are expressly rejected unless accepted by The CMM Programmer in writing.
3. Rates and Scope. Services are billed at the rates stated in the quotation. On-site services are generally time-based and billed for the service time reserved and provided, rather than for completion of a specific project, unless expressly quoted otherwise. Offline programming and other defined deliverables may be quoted on a project or fixed-price basis. Work materially outside the quoted scope may be re-quoted or performed at the applicable rate with Customer's approval.
4. Travel. Travel time is billed at the travel rate stated in the quotation. Travel expenses shown in a quotation are estimates. Meals are billed at the daily meal allowance stated in the quotation, for each traveler and for each day of travel, including the first and last day; when a quotation states no meal allowance, meals are billed at actual cost up to the limit stated in the quotation. The CMM Programmer uses the then-current IRS standard business mileage rate for travel in company or personal vehicles. When a rental vehicle is used at the destination, Customer is responsible for the actual cost of the rental vehicle and fuel in lieu of mileage reimbursement for that driving. Mileage to and from the departure airport is still billed at the mileage rate. All other reasonable travel and engagement-related expenses, including but not limited to airfare, lodging, parking, tolls, baggage fees, ground transportation, shipping or courier charges, and Customer-requested supplies or materials, are billed at actual cost. A five percent administrative fee applies to the total of all billed expenses other than the meal allowance, unless otherwise stated in the quotation. Airfare and lodging are billed up to the limits stated in the quotation; amounts above those limits are incurred only with Customer's written approval and, without that approval, are billed only up to the limit. Actual expenses are often below those limits.
5. On-Site Services; Scheduling and Cancellation. Scheduled on-site service time remains billable when work is interrupted or delayed by machine downtime, unavailable parts or fixtures, access restrictions, drawing or specification questions, waiting for approvals, or other circumstances outside The CMM Programmer's control.
We understand schedules change and will make reasonable efforts to accommodate rescheduling, minimize unnecessary costs, and find alternative date(s) that work for our Customers. When an on-site engagement is cancelled or rescheduled with less than two (2) business days' notice, the one-day minimum of $950 plus any non-refundable travel expenses already incurred will apply.
6. Customer Responsibilities. Customer will provide, as the work requires, a CMM and related equipment in serviceable operating condition, safe access, and current and accurate drawings, CAD, specifications, machine and probe configuration, parts, and fixtures. Delivery dates for offline programming and other deliverables run from receipt of the order and the information the work requires. The CMM Programmer will rely on information supplied by Customer.
7. Results and Acceptance. Programs and measurement results support Customer's quality system. Those results depend on equipment, environment, and part conditions outside The CMM Programmer's control, so no particular repeatability, gage R&R, or capability result is guaranteed (see the Service Agreement). All part acceptance, rejection, disposition, and production-release decisions remain Customer's responsibility.
8. Payment. Invoices are issued weekly during an on-site engagement and on delivery for offline programming and other deliverables, unless the quotation states otherwise. Invoices are due net 30 days unless the quotation states other payment terms. Past-due amounts accrue interest at 1.5% per month or the maximum lawful rate, whichever is less, plus reasonable collection costs. Quoted amounts exclude applicable taxes, which are Customer's responsibility.
9. Warranty and Liability. Warranty terms, remedies, limitations of liability, indemnities, equipment-risk provisions, and other applicable protections are contained in the Service Agreement. THE SERVICE AGREEMENT LIMITS LIABILITY AND EXCLUDES CONSEQUENTIAL DAMAGES.
10. Governing Law; Venue. These Terms are governed by the laws of the State of Indiana, without regard to conflicts-of-law principles. The parties consent to exclusive jurisdiction and venue in the state courts of Hamilton County, Indiana, or the United States District Court for the Southern District of Indiana.
